Contributor Submission & Usage Terms - PLEASE READ

By submitting photographs, images, written content, or other materials (collectively, the “Submission”) to ToyMercs Legions Magazine (“Publisher”) via this website or any associated submission form, you (“Contributor”) agree to the following terms:

1. Ownership & Authority - Contributor represents and warrants that:
- Contributor is the sole creator and copyright holder of the Submission, or otherwise has full legal authority to grant the rights described herein.
- The Submission is original and does not infringe the copyright, trademark, or other proprietary rights of any third party.
- Contributor has the right to submit all elements depicted in the Submission, including but not limited to figures, props, accessories, environments, background artwork, custom or modified items, and any other visual elements shown.

2. Grant of Rights (Non-Exclusive License) - Contributor retains full ownership of the Submission.
- Contributor grants ToyMercs Legions Magazine a non-exclusive, perpetual, worldwide, royalty-free, and fully paid-up license to use, reproduce, display, distribute, and publish the Submission, in whole or in part, for purposes related to: Editorial publication in ToyMercs Legions Magazine, Digital and print editions of the magazine, Publisher’s website and official social media accounts, Promotion, marketing, and archival use directly related to the magazine and its content
- Contributor expressly agrees that no payment, compensation, reimbursement, or royalties will be provided now or in the future for any use of the Submission under this agreement.
- This license does not transfer ownership and does not prevent Contributor from using or licensing the Submission elsewhere.

3. Editorial Use & Modifications - Contributor acknowledges that ToyMercs Legions Magazine may, at its discretion: Crop, resize, color-correct, or otherwise make minor editorial adjustments, Pair the Submission with text, captions, headlines, or graphic elements, Decline to publish the Submission for any reason. Such modifications will not be considered a distortion or misrepresentation of the work.

4. No Guarantee of Publication - Submission of content does not guarantee publication.
- Unless otherwise agreed to in writing, Contributor understands and agrees that: No monetary compensation is owed for submitted content. No royalties, residuals, or future payments are implied. Credit will be provided where reasonably practicable but is not a condition of use

5. Age & Legal Capacity - Contributor represents that they are at least 18 years of age, or that they have the legal authority to enter into this agreement and grant the rights described herein.

6. Indemnification - Contributor agrees to indemnify and hold harmless ToyMercs Legions Magazine, its editors, agents, and affiliates from and against any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising out of or related to: Breach of the representations or warranties in this agreement.  Claims that the Submission infringes the rights of any third party. Any misrepresentation regarding ownership or authority to grant rights.

7. Intellectual Property Acknowledgment - Contributor acknowledges that many
- Submissions may depict copyrighted or trademarked characters, products, or designs owned by third parties.
- Use of such Submissions by ToyMercs Legions Magazine is intended to be editorial in nature and does not imply endorsement, sponsorship, or affiliation with any brand or rights holder.

8. Electronic Acceptance - Contributor acknowledges and agrees that: Submission of content through this website, combined with required affirmative acceptance of these terms (via checkbox or similar mechanism), constitutes a legally binding agreement. No physical signature is required

9. Governing Law - These terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict of law principles.

10. Entire Agreement - These terms constitute the entire agreement between Contributor and ToyMercs Legions Magazine regarding submitted content and supersede any prior understandings or agreements relating to such submissions.
